All State AI Solutions LLC ("All State AI," "we," "us") provides AI, automation, and development services, including but not limited to voice AI agents, chatbots, websites, custom dashboards, CRM and business applications, reputation management, and content and social media automation. Specific deliverables for any engagement are defined in a proposal, quote, or statement of work agreed with the client.
Every engagement begins with a discovery conversation and a written scope or quote. Work outside the agreed scope is treated as a change request and may be quoted separately before it begins. Final pricing and deliverables are confirmed in writing prior to the start of work.
Setup fees are due as specified in your quote. Monthly care plans and subscription services bill in advance, on a recurring monthly basis, unless otherwise agreed in writing. Third-party usage costs — such as telephony minutes, SMS, hosting overages, or API usage tied to your account — are passed through to the client and are separate from our service fees.
Clients are responsible for providing timely content, feedback, approvals, and access to any accounts, systems, or platforms required to complete the engagement. Delays in providing these items may delay delivery timelines correspondingly.
Clients own their own content and the specific website, application, or system delivered to them as part of a paid engagement. All State AI Solutions retains ownership of its underlying tooling, frameworks, templates, and proprietary automation infrastructure used to build and operate client deliverables, and no license to that underlying tooling is granted beyond what is necessary to operate the delivered work product.
Our services may rely on or integrate with third-party platforms (including but not limited to telephony providers, payment processors, hosting providers, and AI model providers). We are not responsible for outages, pricing changes, or policy changes made by third-party providers outside our control.
Where we deploy automated voice agents, chatbots, or other AI-driven tools on a client's behalf, those agents are designed to identify themselves as automated or AI-powered where appropriate. Nothing produced by our AI tools, or by All State AI Solutions generally, constitutes professional legal, medical, financial, or tax advice.
While we build systems intended to improve efficiency, lead capture, and follow-up, we do not guarantee specific business outcomes, revenue increases, or performance results, as these depend on factors outside our control, including how a client's business operates and market conditions.
To the maximum extent permitted by law, All State AI Solutions LLC's total liability for any claim arising from our services is limited to the fees paid by the client for the specific service giving rise to the claim in the preceding three months. We are not liable for indirect, incidental, or consequential damages.
Either party may terminate an ongoing engagement or monthly care plan with 30 days' written notice. Fees for work already performed, and for the notice period, remain due. Termination does not affect ownership rights already granted under Section 5.
These terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.
